Plain-language summary. AidaIDE is a desktop application and website published by Electronyx Incorporated. You agree to use it lawfully, to keep your license key private, and to accept that the software is provided "as is." You can cancel anytime, and refunds within 30 days of purchase are honored without question. This page is the binding contract; the summary is for orientation only.

1. The agreement

These Terms of Service ("Terms") form a binding agreement between you and Electronyx Incorporated ("Electronyx," "we," "us") and govern your use of AidaIDE, aida-lite, the website at aidaide.app, the AidaIDE marketplace, and any related services (collectively, the "Service"). By installing AidaIDE, creating an account, or purchasing a license, you accept these Terms.

2. Your account and license

You may purchase one of the published plans on aidaide.app/pricing. A Single User license activates on up to three of your personal machines. A Teams license includes five seats. Each activation occupies a device slot tied to a unique machine fingerprint that you can view and revoke from your dashboard at any time. You are responsible for keeping your account credentials and license keys confidential. Sharing a license key with someone outside your household (Single User) or team (Teams) is a breach of these Terms.

3. Billing, renewal, and refunds

Subscriptions billed monthly may be cancelled at any time and remain active through the end of the paid period. Annual subscriptions are billed in advance and lock the published price for five years from the date of purchase, provided the subscription stays in good standing. We process payments and refunds through Lemon Squeezy. Requests for a refund within thirty (30) days of purchase will be honored without question; later refund requests are reviewed case-by-case.

4. Acceptable use

You agree not to use AidaIDE or the Service to:

break any applicable law, including export controls and computer-misuse laws;
access systems or networks that you do not own or have explicit permission to use;
circumvent the license enforcement or device-binding mechanisms;
resell, sublicense, or redistribute AidaIDE or any part of it without a written agreement;
publish marketplace content that infringes a third party's rights or contains malicious code.

5. Your content

You keep ownership of everything you create with AidaIDE — code, scripts, AI personas, integrated circuits (ICs), and systems-on-chip (SoCs). When you publish content to the AidaIDE marketplace, you grant Electronyx a non-exclusive license to host, display, and distribute that content to other users of the marketplace. You may remove published content at any time; existing copies in users' installations are unaffected.

6. AI features and third-party providers

AidaIDE integrates with third-party AI providers (including Anthropic, OpenAI, Google, and others). When you supply your own API key, requests are sent directly to that provider under their terms. AidaIDE does not store the contents of your AI prompts on our servers; logs may be retained locally on your machine for debugging.

7. Disclaimer and limitation of liability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Electronyx disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement. Our aggregate liability for any claim arising out of or related to the Service is limited to the amount you paid us in the twelve months before the claim arose.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms or if continued service exposes us to legal risk. If we terminate without cause we will refund any unused prepaid period on a pro-rata basis.

9. Changes to these Terms

We will give thirty (30) days' notice by email before any material change to these Terms. Continuing to use the Service after the change takes effect constitutes acceptance.
